Costs for the takeover of your LLC:

  • New Mexico LLC / Wyoming LLC = 795,- Euro (at any time!)

*Note on the Florida LLC: If you would like to switch to us with a FL LLC between April and December, we will charge 595 euros for the takeover during this period. The regular renewal costs will then be due again next January in the amount of 895,- Euro.

If you transfer your FL LLC to us between January and March, you will be charged 895,- Euro for the transfer, as these are the normal renewal costs of a FL LLC, which we charge every January to fulfill all requirements of the US government, e.g. annual report, IRS compliance etc.

Needed! All we need for the acquisition is the “Certificate” from the Secretary of State (Certificate of Formation of your LLC), the Operating Agreement and the EIN letter CP575 from the IRS. Copies of tax documents 5472+1120 from previous years are also helpful.

Annual follow-up costs of your LLC / "Takeover LLC"

– The annual renewal costs for the New Mexico LLC and the Wyoming LLC areEUR 795, always 12 months after formation. For example, if you form in December 2025, the renewal costs will not be incurred until December 2026.

– For the Florida LLC the annual costs are 895,- Euro, but always in January and regardless of when the company was founded in the previous year. For example, if you set up in September 2025, the renewal costs will already be incurred in the following January 2026, as the annual report must always be submitted and the state fee paid in January.

All renewal fees include: Renewal of the business address including mail scanning service, annual report for the FL LLC and WY LLC (no annual report is required for the NM LLC), payment of the state fee, filing of compliance formalities with the IRS (tax document 5472 + 1120 or 1065 for multi-membered LLCs) and our written support for questions via e-mail, WhatsApp or Telegram. Telephone calls can be booked for a fee upon prior request.

Subsequent addition of a member: Should you wish to add OR replace a member at a later date, the cost will be €395. We have to check and verify the details of the new member. We will forward the new member’s details to the FinCen, must inform the Secretary of State and forward any changes to the IRS. We also issue an updated Operating Agreement. The new member is then also looked after by us.

US LLC formation procedure

1. purchase of our service (US LLC formation) via our payment provider Digistore24. The registration time with sending the Certificate of Organization (Certificate only for WY and NM!) is about 2-3 working days; in Florida about 10 working days. After the company registration we apply for the EIN number directly at the IRS. It takes about 1-2 weeks (often only a few days) until the EIN number is sent to you.

2. after the purchase you will be redirected to a form in which you enter your desired 2 company names (1 preferred name and 1 alternative name if the preferred name is rejected). In the form you will also be asked for your name, date of birth, nationality and address. Since 2024, due to the “Corporate Transparency Act” introduced in the USA, we must request a copy of your passport (high-resolution photo as JPG or PDF should be uploaded).

Important! The LLCs in Wyoming and New Mexico are always formed anonymously for you. This means that only your company name and we as the principal with address are entered in the public online register. The LLC in Florida cannot be formed anonymously! The member of the LLC in Florida is publicly listed in the register with his name and company address. Public formation is also possible in New Mexico. You can select these options in our online incorporation form.

3. once you have submitted the form to us by clicking on the submit button, we will check your entries for correctness (e.g. company name in the correct format, availability, etc.) and then send this data to the “Registered Agent” in the respective state for registration. We will provide you with the address for your company!

4. as soon as the registration of your LLC is completed, you will receive all documents(Certificate of Organization for NM and WY) in your personal download folder. For FL LLCs there is only an extract from the register. You will also receive the Operating Agreement for your LLC, which shows the articles of association and the members of the LLC, for signature and to keep in your records. The company is now registered and ready for use! For example, you can now open a company account with Wise (the EIN number is not required for a Single Member LLC!), although we still recommend waiting for the EIN for easier verification.

5. after about 1-2 weeks (often sooner!) you will receive your EIN from the IRS that matches your company and you will be able to open a bank account in the USA. Banks that accept remote opening are e.g. Mercury and Relay. With the official IRS letter regarding your EIN number you also have the possibility to prove your company to other companies. You will also receive further bank suggestions from us for a suitable business account.

6. extension? We can extend the LLC Company for you on request. After 11 months we will remind you of the extension for the LLC in Wyoming and New Mexico. In December we will remind you of the extension in Florida! We will then send you a link that will take you directly to our payment provider. There you can purchase the annual service from us. Included in all renewal costs are Business address renewal incl. mail scanning service, Annual Report for the FL LLC and WY LLC (no Annual Report is required for the NM LLC), payment of the state fee, filing of the compliance formalities in April with the IRS (tax document 5472 + 1120 or 1065 for Multi Membered LLCs) and our written support for questions via e-mail, WhatsApp or Telegram.

Note: You will be added to our reminder email list and you will receive an email from us exactly 11 months after successful registration. For the Florida LLC you will receive the reminder in December, as the Annual Report must be submitted in January! We will always remind you of the IRS compliance formalities in January and you will receive a special IRS interview, which you can fill out online and submit to us.

How long does it take to set up a company?

As a rule, complete company registrations in the USA take 2-3 working days (currently approx. 10 working days in Florida!). After that, the company is already fully operational.

The EIN number usually takes about 1-2 weeks. This number is issued by the IRS (Internal Revenue Service of the USA). We therefore unfortunately have to adhere to the processing times of the IRS. Since we now work with a special service, we no longer receive the EIN in about 3-5 weeks, but now in about 1-2 weeks – often in less than a week!

  • You should definitely choose an English name for the description. No Latin or other languages please

  • At the end of the name there must always be LLC, which stands for Limited Liability Company. If you forget to add this, we will do it for you
  • Pure first and last names such as “Max Mustermann LLC” are not permitted for an LLC, as an LLC is a company and a single name indicates only one person. However, first and last names with associated descriptive or characteristic elements are permitted, such as “Max Mustermann Solutions LLC”
  • Please do not choose company names that consist of only one word. Words such as Digital LLC, Content LLC or Cyber LLC are not recognized as they do not say anything specific
  • It is best to choose 2-3 words for your company name
  • Add a distinctive element that makes your company name unique. Instead of “Computer Service LLC” use “Mustermanns Computer Service LLC” OR instead of “Online Marketing LLC” use “Max Online Marketing LLC”
  • If necessary, add a descriptive element that best describes your activity or product. Variants can be: “Max Digital Services LLC”, “Mustermanns SEO Service LLC” or even name abbreviations such as (if the members are called Max and Florian) “MF Content Creation LLC”

The LLCs in all 3 states work in roughly the same way! There is no difference in opening a bank account or in the actual registration.

In New Mexico and Wyoming you can either incorporate anonymously to the outside world, while in Florida you can only incorporate publicly. This means that your first and last name will appear in the public register, as will your company address.

Possible:Anonymous or public in New Mexico, while you can only incor porate anonymously in Wyoming and publicly in Florida!

Maybe you should ask yourself what will look better for your clients. Is it an LLC in Wyoming, in New Mexico or in Florida?

The Florida LLC looks pretty good to most people, but it is considerably more expensive (annual fee always in January + 100 euros higher costs for annual renewal!) and you cannot set up anonymously in Florida! This does not have to be a disadvantage and can even be seen as an advantage, as you can prove to other institutions that you are the member of the LLC with the official register entry with your name and company address.

Incidentally, the authenticity and affiliation of the LLC to the member can also be proven with the EIN letter from the IRS. This is why public incorporation in Florida is not necessarily more advantageous.

Optionally, you can book the extension of your LLC in the USA with us. This incurs the following annual costs:

– For LLCs in Wyoming and New Mexico, the annual report (after 12 months) and tax compliance documents must be submitted to the IRS in April. We charge an optional fee of 795,- Euro each year after registration / company formation. The 1st year is included in our registration package!

Example: Company formation in June 2023 –> Annual report + state fee due in June 2024 or IRS compliance formalities due in April 2024 –> Price already included in the formation package! –> Only in June 2024 the extension package must be booked optionally so that we become active!

– For the LLC in Florida, the renewal must be applied for in January of the following year, which is why the optional renewal fee of EUR 895 must always be paid in January, regardless of when the company was founded in the previous year.

Example: Company foundation in June 2023 –> Annual report or renewal due in January 2024 –> In January 2024, the renewal package must be optionally booked so that we can become active!

We can definitely recommend Wise (formerly TransferWise) as a company account. As of October 2023, Wise only needs the company registration + Operating Agreement from you for verification. If you set up the LLC as a sole member, not even the EIN number is required to open the account. However, we would still wait to open the account until this has been received.

However, Wise should only be used for incoming money and payments, as well as for currency exchange and transfers to your private bank account.

All payments and cash receipts can be made via the Wise company account. You can currently receive incoming payments in euros, British pounds, Hungarian forints and US dollars. The multi-currency account from Wise works particularly well for these incoming funds. You can find out more about Wise here.

And of course you can also try to open a bank account remotely in the USA with your EIN number. However, we cannot guarantee this if banks simply change their conditions overnight. The last banks where remote openings have worked are Mercury and Relayfi.

Many people use the free DKB account as a private payment account. Both individual and joint accounts are easy to open. Even a free VISA debit card is included. A credit card can be added for a small fee. Withdrawals abroad are free of charge as long as you are an active customer, i.e. you receive at least 700 euros per month.

ATTENTION: If you are considering getting a corporate debit card through your LLC at Wise, we are sorry to disappoint you, as Wise has recently stopped issuing Visa debit cards to non-US LLCmembers! A small detour must be taken here:

1. open an account with Mercury or Relayfi (only possible with ONE number!)
2. keep the Wise account running and accept payments in euros, for example
3. Make a currency exchange from EURO to USD within your Wise account
4. Transfer USD from your Wise account to your Relayfi or Mercury account
5. Withdraw money anywhere with Mercury or Relayfi debit cards 👍

Only the names of the members, address of the current place of residence (whereabouts), company shares and the company name.

According to the US Corporate Transparency Act, passports will also be required for verification from 2024. Previously, this was not necessary, as anyone in the USA could open a company anonymously without personal data being checked.

You can set up the US LLC on your own. This makes you a single-member LLC, which classifies you as a “disregarded entity” for the IRS.

Multiple members are possible, but the IRS will consider you to be a partnership, which means that your company will definitely be considered for tax purposes and Form 1065 (instead of 5472+1120 for single member LLCs) must be filled out.

The end result is the same, as all profits are still passed through to the members and they have to pay tax on their profits in the country in which they are resident for tax purposes. In both cases, however, business should never be conducted on US soil (i.e. directly on site)!

In territorially taxed countries, you do not have to pay tax on foreign income!

Countries with territorial taxation:

Angola, Anguilla, Belize, Bermuda, Bhutan, Bolivia, Botswana, British Virgin Islands, Costa Rica, Democratic Republic of Congo, Djibouti, Swaziland, Georgia, Grenada, Guatemala, Guinea-Bissau, Hong Kong, Lebanon, Libya, Macau, Malawi, Malaysia, Marshall Islands, Micronesia, Namibia, Nauru, Nicaragua, Palau, Palestine, Panama, Paraguay, St. Helena, Assumption and Tristan da Cunha, Seychelles, Singapore, Somalia, Syria, Tokelau, Tuvalu, Zambia, Iran, Iraq, Philippines, Saudi Arabia

In countries without direct taxation, you don’t have to pay income tax either, even on domestic income!

are countries without direct taxation:

Antigua and Barbuda, Bahamas, Bahrain, Brunei, Cayman Islands, Kuwait, Monaco, Pitcairn Islands, Saint Barthelemy, Saint Kitts and Nevis, Turks and Caicos Islands, United Arab Emirates (without Dubai), Vanuatu, Vatican City (only priests live there!), Wallis and Futuna, Western Sahara, North Korea (who wants to go there?)

All other countries apply residence tax, but this does not necessarily mean that it is generally bad. In Bulgaria, for example, you only pay 10% on all income – domestic and foreign – a flat rate, so to speak.

Countries such as Thailand (from 2024), Cyprus, Malta, Malaysia and England only tax income if it is brought into the country. Here, however, the country must definitely be considered individually!

However, it is not recommended to choose Germany as a place of residence with a foreign company in terms of tax savings, as trade tax and corporation tax are levied here in addition to income tax, due to foreign tax laws.

While in New Mexico and Wyoming no member data can be viewed in the public register (unless you want it that way in New Mexico), in the state of Florida all data such as name and company address are listed publicly. So if you want to be completely anonymous, go with the first two states. And if you absolutely want to be listed publicly (possibly for credible evidence of the company), opt for Florida (or New Mexico, if you let us know in advance).

However, you can prove your LLC just as credibly if you show the official letter from the IRS with the EIN number, company name, registration number and owner’s name. Florida is therefore not the ultimate as is often propagated.

For example, to keep the process as simple, secure and personalized as possible, we do not open a business account for our clients. You should therefore choose fintech banks such as Wise for a corporate account yourself.

And of course you can also try to open a bank account remotely in the USA with your EIN number. However, we cannot guarantee this if banks simply change their conditions overnight. Banks with which remote openings have worked recently are e.g. Mercury, Relayfi. You will receive a list of banks from us by e-mail as soon as your LLC is ready for use.

So you can just do what you always do and wait for the registration.

On request, we can also take care of all annual reports, renew the address of your LLC including the post scanning service, pay the state fee and also take care of all compliance formalities (tax documents) with the IRS for you. The costs for this are included in the annual renewal.

It all depends on what you are planning to do or what you are already doing as an entrepreneur. If you are an online entrepreneur and plan to deregister from Germany or are already deregistered, then a US LLC definitely makes sense for you.

However, you should also consider the country in which you live or will live. This country should at least have a residence tax without foreign tax laws or tax according to the territorial principle.

It also depends very much on the field of activity. If you sell digital products or electronic services, then this construct is ideal for you.

We do not recommend trading or shipping physical products, as there are no tax advantages to trading and there are disadvantages such as tax charges etc. when shipping physical products.

If you live in the USA, you are fully taxable with your LLC because you would have to pay taxes in this country yourself. The LLC is taxed at the owner level. If the owner lives in the USA, he or she must pay taxes.

In general, you may have customers in the USA, but you should not trigger a permanent establishment or similar! Accordingly, you must also be careful not to trigger a nexus or similar. Even a rented warehouse or a server operated by you can lead to a nexus and thus to a link to a location.

You will receive the EIN number (Employer Identification Number) from the IRS. This number is similar to a social security number (SSN), but for your company.

You can either apply for a personal tax number (ITIN) yourself or have one applied for. However, this process can take up to 6 months and is not carried out by us! However, an ITIN is not required for running and operating an LLC.

We apply for the EIN number for your LLC. You will receive this directly from the IRS in your company mailbox (average time approx. 1-2 weeks -> often sooner!). Unfortunately, we have no influence on the speed of the IRS from the time of application. The bank account with Wise can also be opened as a single member LLC without EIN directly after registration.

We register the US LLC for you either in the state of Wyoming, New Mexico or Florida, depending on which state you choose.

You will receive the official Registration of Organization (only applies to NM and WY) of your registered company or the extract from the register (applies to Florida!). We will also send you the Operating Agreement of your LLC, which you should sign to make it legally binding. You can download both documents in our secure download container.

A few days later (in about 1-2 weeks) you will receive your tax identification number (EIN) from the IRS.

No member will be listed by name in the US public registry (except in New Mexico if requested). In Florida you are always listed! Anonymous incorporation is not possible in FL, only in New Mexico and Wyoming).

We can give tips on leaving the country, but we do not offer this as a service. All the tips we can give are based on our own experience. You should definitely deal with your emigration yourself and inform yourself in detail. You can find a very good deregistration service here.

Read website articles and experience reports carefully and make up your own mind. Ask your bank whether deregistration from Germany is okay. Ask your tax office if you still have income in Germany, etc.

Even if you own property in Germany, you can successfully deregister! However, you must make sure that your property is not empty (not ready for occupancy!), but that it is permanently rented out. Bear in mind, however, that you may still have to pay tax on all rental income in Germany, as you will still be subject to limited tax liability.

Please consult your trusted tax advisor in this regard!

Here, too, it depends on the country and the associated foreign tax laws. Find out from how many days a year you will be liable for tax in your desired country of emigration or whether you have to pay tax from the outset because you own a company abroad. This is the case in Germany, for example, as long as you are still registered.

But even in Europe there are still countries without foreign tax laws.

It always depends on the bank. Many house banks have a problem if you leave the country and are no longer registered. Always ask the bank and/or broker beforehand. In our experience, DKB, for example, has no problems at all with people who want to emigrate. You can even register as a non-resident taxpayer with your bank if you can provide proof of a foreign address.

We take care of the company formation and your company address. You can open a business bank account with Wise or Payoneer. With the help of your EIN, which you will also receive from us, it is also possible to open a bank account in the USA with Mercury or Relayfi.

As far as possible, we provide general and specific tips and information. However, you should also familiarize yourself with the subject of emigration, banks and taxes.

We will provide you with the company registration in the USA at the best possible price. However, we cannot guarantee for e.g:

– Banks that may not accept you or

– Countries that suddenly change their tax system to your disadvantage

We are always in a state of flux. Laws that apply today may change tomorrow.

Here you have to be careful that fintech banks like Wise, Payoneer or others don’t block you!

We have found that most banks do not allow payments from private accounts, as it is not possible to check where and for what the money was received. Such bank accounts usually only accept incoming money from other business accounts.

Therefore, it is advisable, for example, if you sell yoga classes to end customers, even if they are live seminars, that you offer them via payment providers such as Digistore24, Elopage, Shopify or Stripe. The customer payments then go directly to the German payment providers, while they then transfer your revenue to you minus a few percent from their business accounts.

Advantage: These payment providers also take care of the bookkeeping for you. So you don’t have to bother with VAT, invoices or the like. Incidentally, you will receive your income tax-free, as your company is based in the USA.

We can submit the deregistration of your LLC. We charge a one-time fee of 395,- Euro. This also includes the payment of the state fee and the final IRS reports (compliance formalities for the current year).

The entire registration process in the USA is now electronic. Even the stamp printed on the “Registration of Organization” has become an electronic signature. This means that the documents we receive in the USA are nothing more than a copy of a PDF that has also been generated electronically.

Therefore, from our point of view, it makes no sense to send a document that you can print out yourself after you have received it from us as a download.
