Annual follow-up costs of your LLP + transfer to us + information

The annual renewal costs for our service package are currently 349 euros.

Our service package includes: The Annual Report for BC LLP and our written support for questions via e-mail, WhatsApp or Telegram. Telephone calls can be booked for a fee by prior arrangement.

ATTENTION when founding a new LLP: You must enter the company address yourself AFTER a successful name check, e.g. at Anytime Mailbox as we are unfortunately unable to provide you with an address.

Takeover of your LLP: If you would like to switch to us as an agency with your existing LLP, you can contact us via this link to do so. After you have switched to us, you will benefit from the same conditions as if you had founded a new company with us. The annual renewal costs will be charged 12 months after you switch to us.

Adding a partner at a later date: If you want to add OR replace a partner at a later date, the cost will be €395. Due to the KYC guidelines, we must request and verify the details of the new partner. We will also issue an updated partnership agreement. The new partner will then also be supported by us.

**The regular name check as well as the final regular registration time is subject to quite strong fluctuations. Procedure for founding an LLP

1. purchase our service via our payment provider Digistore24. There are 3 options: Regular registration in approx. 6-8 weeks, “50% PRIORITY” in approx. 4-5 weeks or via “100% PRIORITY” (optionally bookable) approx. 2-5 working days, depending on whether there is a weekend in between and how quickly you send us your company address (see point 4).

2nd form: After the purchase you will be redirected to a form in which you enter your desired 3 company names (1 preferred name, 1 alternative name and a second alternative name if the preferred name is rejected). In the form you will be asked for the desired percentage shares, as well as the name, date of birth, nationality and address of all partners. Since 2024, due to the new “Know-your-customer” (KYC) guidelines, we must request a copy of your passport (a high-resolution photo as a JPG or PDF should be uploaded). However, ID cards are currently still accepted, but please be prepared that we may require a copy of your passport for the Annual Report submission at some point in the future.

3. once you have submitted the form to us by clicking on the submit button, we will check your entries for correctness (e.g. company name in the correct format, availability, etc.) and then send this data to the Company Registry Department in Canada BC for name verification.

4. after a successful name check, we will inform you by e-mail. You should then give us an address under which we can register your company. You can book a company address via Anytime Mailbox, for example.

ATTENTION: Please book this address only after a successful name check, because you first have to know whether your company name will be approved at all!

Attention: Proof of identity! Anytime Mailbox asks for your identity and would like you to confirm it. You will need your passport (upload) to verify your identity. Anytime Mailbox also requires proof of address! This is where it gets exciting! Permitted are e.g. identity card (with address on the back!), current rental contract or a bank statement from your bank (with current address!). Anytime Mailbox will not send any mail to the address you provide.

5. you send us your new company address and we register your BC LLP at the given address in BC (British Columbia).

6 After successful registration, we will create the partnership agreement for you and send it to you as well as the registration statement from British Columbia in our secure download container.

7. extension? If you wish, we can extend the partnership for you. We will remind you of the extension after about 11 months. We will then send you a link that will take you directly to our payment provider. There you can purchase the annual report service from us. Included in all renewal costs are Annual Report for BC LLP and our written support for questions via e-mail, WhatsApp or Telegram.

How long does it take to set up a company?

This depends on many factors. Firstly, a name check is carried out directly in British Columbia by the government. This check usually takes 7-10 working days. After that, it is up to you how quickly you create your address, e.g. at Anytime Mailbox, under your current company name. Once you have sent us your company address, it usually takes another 2-3 weeks for the registration to be completed*

*Current information (as of 18.01.2023): The BC Government is currently experiencing a very high volume of new registrations. This can lead to delays. The last name checks took approx. 22 working days. The final registration of the company will take another 20 working days! We therefore ask you to allow about 6-8 weeks for the complete registration.

Update: For the reasons mentioned above, we have decided to offer apriority servicewhich makes it possible to complete the entire company registration process, including name verification, in around 2-5 working days. With the Priority Service, the Registration Office in BC is committed to completing incoming name checks and registrations within 48 hours*.

  • You should definitely choose an English name for the description. No Latin or other languages please

  • The end of the name must always be LLP, which stands for Limited Liability Partnership. If you forget to add this, we will do it for you

  • Pure first and last names such as “Max Mustermann LLP” are not permitted for an LLP, as an LLP is a partnership and a single name indicates only one person. However, first and last names with associated descriptive or characteristic elements are permitted, such as “Max Mustermann Solutions LLP”

  • Please do not choose company names that consist of only one word. Words such as Digital LLP, Content LLP or Cyber LLP will not be recognized as they do not say anything specific

  • It is best to choose 2-3 words for your company name

  • Add a distinctive element that makes your company name unique. Instead of “Computer Service LLP” use “Mustermanns Computer Service LLP” OR instead of “Online Marketing LLP” use “Max Online Marketing LLP”

  • If necessary, add a descriptive element that best describes your activity or product. Variants could be: “Max Digital Services LLP”, “Mustermanns SEO Service LLP” or even name abbreviations such as (if the partners are called Max and Florian) “MF Content Creation LLP” Addition! We now advise against name abbreviations consisting of 2 or 3 letters, as there are already too many identical name abbreviations. The registration authorities recognize too high a risk of confusion with other companies! For example, you could possibly create “MaFl Content Creation LLP” from Max and Florian, but not “MF…” or “FM…”.

  • Please also do not create names that contain words such as “Investment”, “Financial”, “Crypto” or “Capital”! In other words, any names that refer in any way to finance or financial advice. The problem here is not the name for the LLP, but rather the bank account registration afterwards. Banks like Wise do not accept business bank accounts if there is a suggestion of financial advice or a financial institution!

If you don’t have the option of using an existing Canadian address in British Columbia as your company address, you can use Anytime Mailbox to apply for a real virtual address that can also receive mail.

Anytime Mailbox is a mail scanning service. You can use the app to tell the branch employee to open, scan, send or shred your mail.

Registration: Only when we give you the green light to apply for the company address (after the name check) should you open an address in British Columbia / Vancouver or Kelowna.

Important! Please make sure that only the person who can provide proof of residence for verification purposes registers the company address. This means that the person to be registered must verify themselves with a passport. Furthermore, the person must provide proof of residence. The following are permitted:
  • Photo of identity card with address on the back
  • Current bank statement with address in the letter window
  • Current rental agreement

Anytime Mailbox will not send any mail to the address you provide. Proof of the company to be registered is also required. This can be provided by uploading the registration statement (which you will receive from us after successful registration) in up to 60 days. No mail can be received until then.

We can definitely recommend Wise (formerly TransferWise) as a company account. As of March 2022, Wise only requires the company registration (Registration Statement) for authentication. In rare cases, the partnership agreement was still required for verification.

Please note: Since December 2021, Wise has even been offering a debit card for Canadian companies.

However, Wise should only be used for incoming money and payments, as well as for currency exchange and transfers to your private bank account.

All payments and cash receipts can be made via the Wise company account. You can currently receive incoming payments in euros, British pounds, Hungarian forints and US dollars. The multi-currency account from Wise works particularly well for these incoming funds. You can find out more about Wise here.

We have also heard good things about opening a company account with Payoneer.

Many people use the free DKB account as a private payment account. Individual accounts as well as joint accounts can be opened easily from Germany. Even a free VISA debit card is included. A credit card can be added for a small fee. Withdrawals abroad are free of charge as long as you are an active customer, i.e. as long as you receive at least 700 euros per month.

Only the names of the partners, address of the current place of residence (whereabouts), company shares (which are noted in the partnership agreement), as well as the company name. Furthermore, we will need the company address that you can book with Anytime Mailbox later on. Since 2024, due to the new KYC guidelines (Know-Your-Customer), we need a copy or photo of your passport (currently identity cards are still accepted!).

Please note that Anytime Mailbox requires you to provide proof of address in addition to passport verification. This can be, for example, your identity card with your address on the back, a bank statement with your address on it or a current rental contract.

This is required by law for the registration of a Canadian LLP. LLP stands for Limited Liability Partnership. This term already contains the word “partnership”. It also includes the words “limited” and “liability”. All in all, this means that the LLP consists of at least 2 partners who, however, only have limited liability.

Please note: A second partner is not required right at the start of registration. However, this should be added to the partnership agreement by the end of the 6th month at the latest. However, the partners are not publicly mentioned in the register, only the company or company name as well as the date of registration and the registration number. The partnership agreement does not have to be sent back to the Government of British Columbia, but can be kept in the company. This means that the BC government does not know who the partners of the company are.

Incidentally, it is even possible for a partner to participate in the company and thus in the profit not only with at least 1%, but also with 0%. This could be important if, for example, one of the partners lives in Germany or another country with residency taxation.

In territorially taxed countries, you do not have to pay tax on foreign income!

In countries without direct taxation, you don’t have to pay income tax either, even on domestic income!

Antigua and Barbuda, Bahamas, Bahrain, Brunei, Cayman Islands, Kuwait, Monaco, Pitcairn Islands, Saint Barthelemy, Saint Kitts and Nevis, Turks and Caicos Islands, United Arab Emirates (without Dubai), Vanuatu, Vatican City (only priests live there!), Wallis and Futuna, Western Sahara, North Korea (who wants to go there?)

All other countries apply residence tax, but this does not necessarily mean that it is generally bad. In Bulgaria, for example, you only pay 10% on all income – domestic and foreign – a flat rate, so to speak.

Countries such as Thailand (from 2024), Cyprus, Malta, Malaysia and England only tax income if it is brought into the country. Here, however, the country must definitely be considered individually!

However, it is not recommended to choose Germany as a place of residence with a foreign company in terms of tax savings, as trade tax and corporation tax are levied here in addition to income tax, due to foreign tax laws.

For example, to keep the process as simple, secure and personalized as possible, we do not open a business account for our clients. You should therefore choose fintech banks such as Wise for a corporate account yourself.

And of course you can also try to open a bank account remotely in the USA with your EIN number. However, we cannot guarantee this if banks simply change their conditions overnight. Banks with which remote openings have worked recently are e.g. Mercury, Relayfi. You will receive a list of banks from us by e-mail as soon as your LLC is ready for use.

We take care of the complete registration of your Canada LLP for you! So you can just do what you always do and wait for the registration.

It all depends on what you are planning to do or what you are already doing as an entrepreneur. If you are an online entrepreneur and plan to deregister from Germany or are already deregistered, then a Canada LLP definitely makes sense for you. However, you should also consider the country in which you live or will live. This country should at least have residency taxation without foreign tax laws or tax according to the territorial principle.

Because you would trigger the tax system by selling products or services in Canada to direct customers. Indirectly, you can have customers in Canada. This works, for example, if you sell digital products or services via German payment providers such as Digistore24 or Elopage. You will then receive the money via Germany.

If you were resident in Canada, you would definitely have to pay taxes because you would then have your residence in this country and would have to file a tax return.

Our company registration does not include a tax ID (VAT number). You would have to apply for this separately. In addition, there is no VAT in Canada but a GST/HST number.

You can download the document you need for this here. A little help: You must complete Part A + Part B + Part H and submit the application by post or fax. (To apply for a business number (BN), Part A + H must be completed).

However, please note that when you register a GST/HST or a business number, all partners are made public in the registrar.

However, a tax ID is not necessary if you have no customers in Canada, do not live in Canada and have no incoming payments in Canada from customers in Canada.

If registration portals such as banks, affiliate programs, merchants or clients ask for your VAT number, you can always enter your 7-digit company registration number.

We register in British Columbia because it is permitted there for online entrepreneurs such as marketers or web designers to set up such a partnership (LLP). Normally, LLPs are reserved for lawyers and doctors, among others.

You will receive the official registration statement of your registered company and the partnership agreement which you and your partner should sign. You can download both documents in our secure download container. The partnership agreement is for your use only. It does not need to be forwarded to the Canadian government or anything similar. No partner will be publicly listed anywhere in the Registrar.

If you need a business number or a tax number (HST/GST), you can apply for this yourself at the Tax Office. You will of course receive the necessary form from us. However, a tax number is almost never required, at least not if no sales are made within Canada.

We can give tips on leaving the country, but we do not offer this as a service. All the tips we can give are based on our own experience. You should definitely deal with your emigration yourself and inform yourself in detail. You can find a very good deregistration service here.

Read website articles and experience reports carefully and make up your own mind. Ask your bank whether deregistration from Germany is okay. Ask your tax office if you still have income in Germany, etc.

Even if you own property in Germany, you can successfully deregister! However, you must make sure that your property is not empty (not ready for occupancy!), but that it is permanently rented out. Bear in mind, however, that you may still have to pay tax on all rental income in Germany, as you will still be subject to limited tax liability.

Please consult your trusted tax advisor in this regard!

Here, too, it depends on the country and the associated foreign tax laws. Find out from how many days a year you will be liable for tax in your desired country of emigration or whether you have to pay tax from the outset because you own a company abroad. This is the case in Germany, for example, as long as you are still registered.

But even in Europe there are still countries without foreign tax laws.

It always depends on the bank. Many house banks have a problem if you leave the country and are no longer registered. Always ask the bank and/or broker beforehand. In our experience, DKB, for example, has no problems at all with people who want to emigrate. You can even register as a non-resident taxpayer with your bank if you can provide proof of a foreign address.

As far as possible, we provide general and specific tips and information. However, you should also familiarize yourself with the subject of emigration, banks and taxes.

We are always in a state of flux. Laws that apply today may change tomorrow.

Here you have to be careful that fintech banks like Wise, Payoneer or others don’t block you!

We have found that most banks do not allow payments from private accounts, as it is not possible to check where and for what the money was received. Such bank accounts usually only accept incoming money from other business accounts.

Therefore, it is advisable, for example, if you sell yoga classes to end customers, even if they are live seminars, that you offer them via payment providers such as Digistore24, Elopage, Shopify or Stripe. The customer payments then go directly to the German payment providers, while they then transfer your revenue to you minus a few percent from their business accounts.

Advantage: These payment providers also take care of the bookkeeping for you. So you don’t have to bother with VAT, invoices or the like. Incidentally, you will receive your income tax-free, as your company is based in the USA.

If it is not absolutely urgent, then simply let it expire. This means that if the annual report is due and you do not submit it on time, the LLP will be canceled without any disadvantage for you or your partners.

In principle, it is possible to send you the founding documents by post for an additional charge. However, these are not original documents, as there are simply none.

The entire registration process in Canada is now electronic. Even the stamp printed on the Registration Statement has become an electronic signature. This means that the documents we receive in Canada are nothing more than a copy of a PDF that has also been generated electronically.

Therefore, from our point of view, it makes no sense to send a document that you can print out yourself after you have received it from us as a download.
